This Agreement outlines the legally binding terms for using our Storage Auction Services. By accessing our platform, you agree to these terms whether you're a Visitor or a Member. If you disagree, please leave the site immediately. To use our services fully, you must create an account and accept these terms.
Acceptance of Terms
This Agreement covers acceptable use of our services and content, your rights, obligations, and privacy policy. Some services may require additional terms, which will be incorporated into this Agreement. You can request a copy of this Agreement by emailing us at info@StorageAuctionServices.com
Modifications
We may update this Agreement at any time. Changes take effect immediately upon posting. Continuing to use our services means you accept these changes. Regularly review this Agreement to stay informed.
Online Auction Terms
As a Bidder or Buyer, you must understand and agree to all terms below. Here are some key points from the Bidding Rules section:

NOTICE TO BIDDERS: By placing a bid, the buyer acknowledges and agrees that they are entering into a legally binding contract. The following auction rules are applicable:
Under our Terms of Use, buyers agree to:
Contact the facility manager within 24 hours for payment and pick-up arrangements.
Make premium payments within 24 hours of auction closing. Failure to pay will result in loss of the auction and account suspension.
Bids placed in the last 2 minutes will extend the auction, and the timer will reset back to 2 minutes.
A 15% buyer premium will be added to your final winning bid and charged to your credit card.
A 10% deposit of the winning bid will be charged to your credit card, which will be subtracted from the final amount due at the facility.
Units must be cleaned out entirely within 48-72 hours, leaving them broom-swept.
The buyer must promptly return all personal property, papers, photos, legal documents, tax returns, bank statements, yearbooks, etc.
Winning bidders understand they are entering into a binding contract. Failure to pay or clean out units completely will result in a permanent account suspension.
The facility has the right to cancel the auction at any time.
Defaulted tenants can cancel the auction by curing the account until payment is received from the winning bidder.
Winning bidders are liable for their winning bids, associated premiums, taxes, and fees regardless of whether they claim the property of the auction unit or units.
If the winning bidder has not submitted payment within 24 hours of the auction close time, the unit can be offered to alternate bidders.
By registering and agreeing to our Terms of Use, bidders cannot dispute charges processed through StorageAuctionServices.com.
Upon account suspension, all active winning bids will be removed.
If a unit receives NO bids or a winning bidder fails to pay, the unit becomes the property of the seller for disposal or relisting.
To participate in bidding or buying goods from self-storage units on this website, you must agree to the terms of this Bidder/Buyer Agreement ("Agreement").
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE. BY REGISTERING AND USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND ALL RELATED POLICIES.
Storage Auction Services, LLC DBA StorageAuctionServices.com ("Storage Auction Services") may change the terms of this Agreement or site policies at any time. Any changes will be effective once posted on the site. It is your responsibility to review any updates.
CONTINUED USE OF THE SITE AND SERVICES AFTER CHANGES ARE POSTED INDICATES ACCEPTANCE. IF YOU DISAGREE WITH ANY CHANGES, DO NOT USE THE SITE OR SERVICES.
1. Sales
Public sales involve units sold for non-payment of rent, abandoned property, private sales, or charity units.
2. Disclosed Agent
Storage Auction Services acts as an agent for the self-storage facility selling the property. They are not a party to the sale and do not guarantee the quantity, quality, or authenticity of items sold.
3. Bidding Rules
Participants must be 18 years or older.
A 15% buyer's premium is charged to the successful bidder's credit card.
A cleaning deposit may be held or charged and refunded if the unit is emptied and cleaned.
Bidders must pay the self-storage facility directly for the winning bid amount, including sales tax.
The successful bidder has a specified time to pay for and pick up property.
Sales tax is collected unless the bidder provides tax exemption documentation.
A sale is final when all money is paid and property removed or a lease executed.
Goods are sold "AS-IS" with no guarantees or warranties.
Bids are made in fixed increments and accepted during the specified time period.
Payment methods are specified on the Auction Details Page.
Storage Auction Services may validate your credit card by charging $0.01.
If the winning bidder breaches the terms, the backup bidder may be contacted.
Auction units in the United States are payable in USD; the buyer's premium and deposit are payable in local currency unless specified otherwise.
4. Payments
Storage Auction Services accepts credit and debit card payments for bidder fees and cleaning deposits, supporting Visa, MasterCard, Discover, and American Express. By placing a bid, you ensure you can fully pay for the items if you win, including premiums, sales tax, and deposits. If unable to pay, Storage Auction Services may cancel your bid and charge the next card on file if necessary.
5. Rights Reserved
Storage Auction Services reserves the right to halt any auction or sale, restrict site access, or correct inaccuracies for reasons including technical issues, incorrect listings, or unlawful items.
6. Password Security
Your password should be used only for site access, signing transactions, and reviewing completed transactions. You are responsible for keeping your password secure and changing it if compromised.
7. Compliance with Laws
You must use the site and services lawfully, complying with all relevant laws and regulations. Fraudulent activities such as using a false name or unauthorized credit card are prohibited and may be reported to law enforcement.
8. Breach
Storage Auction Services may suspend or terminate your membership if you breach this Agreement, cannot verify your information, or your actions cause legal issues.
9. Privacy and Monitoring
Storage Auction Services is committed to protecting your privacy, as outlined in our Privacy Policy. You should not use participant information for solicitation or spamming.
10. Disclosure of Information
Storage Auction Services may report suspicious activities to law enforcement and disclose necessary information to protect its systems and customers.
11. No Warranties
The site and services are provided "AS IS," and Storage Auction Services makes no warranties, express or implied, about their reliability or accuracy.
12. General Release
You release Storage Auction Services from any claims or disputes arising from transactions between buyers and storage facilities.
13. Limitation of Liability
Storage Auction Services is not liable for any damages arising from the use of the site or services.
14. Indemnity
You agree to indemnify Storage Auction Services from any claims arising from your breach of this Agreement or violation of laws.
15. Applicable Law
This Agreement is governed by the laws of the State of Arizona.
16. Arbitration
Any disputes will be settled by binding arbitration in Arizona.
17. Licenses
StorageAuctionServices.com grants a limited license for personal use of the site and services, excluding commercial use.
18. Termination
Storage Auction Services may terminate this Agreement or site access at its discretion.
19. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
No Agency: Third-Party Beneficiary
Storage Auction Services is not your agent, fiduciary, trustee, or representative. Nothing in this Agreement grants any person other than the parties involved any legal or equitable right, remedy, or claim under this Agreement. All representations, warranties, covenants, conditions, and provisions are intended solely for the benefit of Storage Auction Services, its certified merchants, and you.
Severability
If any provision of this Agreement is deemed unlawful, void, or unenforceable, that provision will be considered severable and will not affect the validity and enforceability of the remaining provisions.
No Waiver
The failure of Storage Auction Services to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision. Failure to enforce strict performance of any provision will not be considered a waiver of the right to enforce such provision or any other provisions in the future.
ONLINE AUCTIONS: STORAGE FACILITY AGREEMENT
This Agreement ("Agreement") between Storage Auction Services, LLC ("Company") and each storage facility auctioning storage units online ("Seller") is as follows:
Whereas, the Company offers an online service for the collection of bids ("Service") for its storage company members to hold public sales of foreclosed self-storage units; and
Whereas, the Seller shall authorize personal property in its tenants' self-storage units ("Unit(s)") scheduled for foreclosure to be listed through the Service; and
Whereas, the Seller shall specify their auction terms, such as additional time allowed to clean out Unit(s) and any reserves or minimum bids on Unit(s), in addition to terms and conditions of the Company's "Bidder/Buyer Agreement"; and
Whereas, the Company will collect bids from registered "Buyers" for the personal property in the Unit(s); and
Whereas, the Seller may accept the highest bid, and thereafter the Buyer with the highest bid ("Buyer") shall pay the Seller directly, at the self-storage facility, the amount of the Buyer's accepted online bid(s) in exchange for the personal property in the Unit(s); and
Whereas, the Buyer shall pay the Company directly for an online bidding administration fee, and the Buyer will be liable to the Company for a $100 cleaning deposit ("Deposit") per Unit purchased; and
Whereas, the Seller shall be responsible for the payment of any applicable sales tax and agrees to timely pay such sales tax; and
Whereas, the Seller and Buyer will make arrangements directly for the pick-up or delivery of the personal property in the Unit(s).
Therefore, the Seller agrees, subject to the terms and conditions stated above and below, to utilize this Service. Use of the Service constitutes acceptance of such terms as well as the StorageAuctionServices.com
Terms of Use consented to by creating a StorageAuctionServices.com account.
1. Legality of Online Collection of Bids for the Sale of Unit(s)
The Seller understands and agrees that by using this Service, the Company does not offer legal advice regarding the legality of collecting bids online for self-storage units.
The Seller must adjust their lien procedures and seek legal advice for necessary modifications.
2. Seller's Obligations in Listing the Unit(s)
Comply with all state laws regarding the lien Units listed.
Clearly specify if any Unit(s) are not delinquent or contain donated items.
Ensure all information provided is true and accurate.
Confirm authority to sell personal property and transfer full ownership.
3. Description of the Unit(s)
The Seller is responsible for any statements about the Unit(s) or their contents.
Ensure all information listed online is true and accurate.
The Company can refuse to list any personal property.
4. Terms of Seller's Sale to the Buyer
The Service is solely for collecting bids online.
All non-essential terms are left to the Seller to define or negotiate with Buyers.
The Company will not set reserve/minimum bid requirements or payment deadlines.
5. Online Bidding
The Company cannot guarantee a Buyer's commitment or ability to pay.
The Seller may set a reserve or minimum bid.
The Seller is not obligated to accept any bids and can reject all bids.
If Seller accepts a bid on a unit, Seller must accept the highest bid made in compliance with state law.
A $100 minimum cleaning deposit per Unit is required from the Buyer. Unit must be cleaned out entirely otherwise Buyer will forfeit deposit and be banned from any future auctions.
6. Commencement and Cancellation of Online Bids
The Service starts when the Seller consents to this Agreement.
Sellers can cancel online bids free of charge on the same day bidding begins.
If canceled after bidding has commenced, follow terms in Paragraph 7.
7. Seller's Discretion to Accept or Reject Bids
The Seller can accept the highest bid or reject all bids.
Notify the Company within 24 hours if rejecting a bid to reverse the auction fee charge.
The highest bid cannot be rejected for a lower bid unless the highest bidder defaults.
8. Seller's Obligations in Delivering the Personal Property in the Unit(s)
The Buyer has 24-72 hours to empty the Unit(s).
The Seller must ensure the property is accessible within that timeframe.
If required to deliver the property, ensure it is delivered intact and as described.
9. Seller's Rights
Refuse bids.
Divide or withdraw personal property for separate sales.
Cancel Unit(s) subject to terms in Paragraph 6.
10. Company's Rights
Prevent unqualified individuals from bidding.
Require a minimum number of bidders for an auction.
Halt any auction or sale at their discretion.
Act as the sole arbitrator in disputes between Seller and Buyers.
11. The Buyer
The Company does not act on behalf of the Buyer.
The Company is not responsible for the actions or comments of Buyers.
12. Personal Data
The Company will use Seller's personal information to provide services.
Personal information will not be published or shared unless required by law.
13. Social Media
The Seller accepts social media features and functionality.
The Company is not liable for damages caused by others via social media.
14. Fees for Online Collection of Bids
The Seller must pay a 10% seller premium based on each Unit's highest bid.
The Seller must maintain a Storage Auction Services account.
15. Warranties
The Company only acts as a passive conduit for content dissemination.
The Company does not guarantee uninterrupted or error-free operation.
16. Limited Liability
The Company is not liable for any special, incidental, or consequential damages.
The total liability of the Company will not exceed the amount paid by the Seller.
17. Release
The Seller releases the Company from claims, demands, and damages related to disputes with Buyers.
18. Indemnification
The Seller agrees to indemnify and defend the Company against claims related to ownership, breach of agreement, rescission claims, and information provided by the Seller.
19. Miscellaneous
Dispute Resolution: Use best efforts to resolve disputes in good faith.
Governing Law: This Agreement is governed by Arizona law.
Severability: Invalid provisions will not affect the remaining provisions.
Headings: For reference only and do not define the scope of sections.
Assignment: Rights and obligations cannot be assigned or transferred without prior written consent.
Force Majeure: Performance excused if prevented by conditions beyond control.
Independent Contractors: No agency, partnership, or joint venture is created.
Notice: Notices must be given as specified in the Agreement.
Waiver: Written waiver required for any breach of Agreement.
General Terms: Post appropriate information on StorageAuctionServices.com; the Company can remove objectionable content and terminate access at its discretion.
1. Eligibility
Use of and Membership in the Storage Auction Services is void where prohibited.
By using Storage Auction Services, you represent and warrant that:
All registration information you submit is truthful and accurate and pertains to on-site storage auctions (not online auctions).
You will maintain the accuracy of such information.
You are 18 years of age or older.
Your use of the Storage Auction Services does not violate any applicable law or regulation.
Your profile may be deleted, and your Membership may be terminated without warning, if we believe that you are under 18 years of age, or for any other reason at Storage Auction Services’ sole discretion.
2. Term
This Agreement shall remain in full force and effect while you use the Storage Auction Services or are a Member.
You may terminate your Membership at any time, for any reason, by contacting Storage Auction Services.
StorageAuctionServices.com may terminate your Membership at any time, without warning.
Even after Membership is terminated, this Agreement will remain in effect, including but not limited to sections 5-17.
3. Password
When you sign up to become a Member, you will also be asked to choose a password.
You are entirely responsible for maintaining the confidentiality of your password.
You agree not to use the account, username, or password of another Member at any time, or to disclose your password to any third party.
You agree to notify StorageAuctionServices.com immediately if you suspect any unauthorized use of your account or access to your password.
You are solely responsible for any and all use of your account.
4. Non-commercial Use by Members
The Storage Auction Services are for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by StorageAuctionServices.com.
Illegal and/or unauthorized use of the Storage Auction Services is prohibited, including but not limited to:
Collecting auction dates or unit counts for commercial or competitive purposes.
Collecting usernames and/or email addresses of Members for the purpose of sending unsolicited email.
Unauthorized framing of or linking to the Storage Auction Services website and/or mobile application.
Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges.
5. Proprietary Rights in Content on StorageAuctionServices.com
StorageAuctionServices.com does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to Storage Auction Services.
After posting your Content to the Storage Auction Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose.
By displaying or publishing ("posting") any Content on or through the Storage Auction Services, you hereby grant to StorageAuctionServices.com a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through the Storage Auction Services.
The license you grant to StorageAuctionServices.com is non-exclusive, fully-paid and royalty-free, sub-licensable, and worldwide.
This license will terminate at the time you remove your Content from the Storage Auction Services.
The license does not grant StorageAuctionServices.com the right to sell your Content, nor does the license grant StorageAuctionServices.com the right to distribute your Content outside of Storage Auction Services.
6. Content Posted
StorageAuctionServices.com may delete any Content that, in the sole judgment of StorageAuctionServices.com, violates this Agreement or which may be offensive, illegal, or violate the rights, harm, or threaten the safety of any person. StorageAuctionServices.com assumes no responsibility for monitoring the Storage Auction Services for inappropriate Content or conduct. If at any time StorageAuctionServices.com chooses, in its sole discretion, to monitor the Storage Auction Services, StorageAuctionServices.com nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.
You are solely responsible for the Content that you post on or through any of the Storage Auction Services, and any material or information that you transmit to other Members, as well as your interactions with other Users. StorageAuctionServices.com does not endorse and has no control over the Content. Content is not reviewed by StorageAuctionServices.com prior to posting and may not reflect the opinions or policies of StorageAuctionServices.com. StorageAuctionServices.com makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.
7. Content/Activity Prohibited
The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the Storage Auction Services. StorageAuctionServices.com reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including reporting offenders to law enforcement, removing the offending communication from the Storage Auction Services, and terminating the Membership of such violators. Prohibited Content includes, but is not limited to, Content that:
Is patently offensive and promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual.
Harasses or advocates harassment of another person.
Exploits people in a sexual or violent manner.
Contains nudity, violence, or offensive subject matter, or contains a link to an adult website.
Solicits personal information from anyone under 18.
Provides any telephone numbers, street addresses, last names, URLs, or email addresses;
Promotes information that you know is false or misleading, or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous;
Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;
Involves the transmission of "junk mail," "chain letters," unsolicited mass mailing, instant messaging, "spimming," or "spamming";
Contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
Furthers or promotes any criminal activity or enterprise, or provides instructional information about illegal activities, including but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
Solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
Involves commercial activities and/or sales without prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes;
Includes a photograph of another person that you have posted without that person's consent; or
Involves criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets.
Advertising to, or solicitation of, any Member to buy or sell any products or services through the Storage Auction Services is prohibited. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Storage Auction Services to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. To protect our Members from such advertising or solicitation, StorageAuctionServices.com reserves the right to restrict the number of emails a Member may send to other Members in any 24-hour period to a number deemed appropriate in its sole discretion.
Covering or obscuring the banner advertisements on your personal profile page or any StorageAuctionServices.com page via HTML/CSS or any other means is prohibited.
Any automated use of the system, such as using scripts to add friends or send comments or messages, is not allowed.
Interfering with, disrupting, or creating an undue burden on the Storage Auction Services or the networks or services connected to the Storage Auction Services is prohibited.
Attempting to impersonate another Member or person is prohibited.
Using the account, username, or password of another Member at any time, disclosing your password to any third party, or permitting any third party to access your account is not allowed.
Selling or otherwise transferring your profile is prohibited.
Using any information obtained from the Storage Auction Services to harass, abuse, or harm another person is strictly forbidden.
Displaying an advertisement on your profile, or accepting payment or anything of value from a third party in exchange for performing any commercial activity on or through the Storage Auction Services on behalf of that person—such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, or sending private messages with a commercial purpose—is prohibited.
Using the Storage Auction Services in a manner inconsistent with any and all applicable laws and regulations is strictly forbidden.
8. Copyright Policy
You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining prior written consent from the owner of such proprietary rights. It is the policy of StorageAuctionServices.com to terminate Membership privileges of any Member who infringes the copyright rights of others upon StorageAuctionServices.com's receipt of proper notification by the copyright owner or the copyright owner's legal agent.
Without limiting the foregoing, if you believe that your work has been copied and posted on the Storage Auction Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:
An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
A description of the copyrighted work that you claim has been infringed;
A description of where the material that you claim is infringing is located on the Storage Auction Services;
Your address, telephone number, and email address;
A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
9. Member Disputes
You are solely responsible for your interactions with other StorageAuctionServices.com Members. StorageAuctionServices.com reserves the right, but has no obligation, to monitor disputes between you and other Members.
10. Privacy
Use of the Storage Auction Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference. The Privacy Policy can be accessed here.
11. Disclaimers
StorageAuctionServices.com is not responsible for ensuring legal compliance with state lien laws, state self-storage acts, or any other laws.
StorageAuctionServices.com does not guarantee compliance with such laws or provide legal advice.
StorageAuctionServices.com is not a substitute for an attorney.
StorageAuctionServices.com is not responsible for any incorrect or inaccurate Content posted on the Storage Auction Services website and/or mobile application or in connection with the Storage Auction Services, whether caused by Users of the Storage Auction Services or by any equipment or programming associated with or utilized in the Storage Auction Services.
Profiles created and posted by Members on the Storage Auction Services website and/or mobile application may contain links to other websites.
StorageAuctionServices.com is not responsible for the Content, accuracy, or opinions expressed on such websites.
Inclusion of any linked website on the Storage Auction Services does not imply approval or endorsement of the linked website by StorageAuctionServices.com.
You access these third-party sites at your own risk.
StorageAuctionServices.com takes no responsibility for third-party advertisements posted on the Storage Auction Services website and/or mobile application or through the Storage Auction Services, nor does it take responsibility for the goods or services provided by its advertisers.
StorageAuctionServices.com is not responsible for the conduct, whether online or offline, of any User of the Storage Auction Services.
StorageAuctionServices.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to or alteration of any User or Member communication.
StorageAuctionServices.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Storage Auction Services or combination thereof, including any injury or damage to Users or any person's computer related to or resulting from participation in or downloading materials in connection with the Storage Auction Services.
Under no circumstances shall StorageAuctionServices.com be responsible for any loss or damage, including personal injury or death, resulting from use of the Storage Auction Services, attendance at a StorageAuctionServices.com event, Content posted on or through the Storage Auction Services, or the conduct of any Users of the Storage Auction Services, whether online or offline.
The Storage Auction Services are provided "AS-IS" and as available.
StorageAuctionServices.com expressly disclaims any warranty of fitness for a particular purpose or non-infringement.
StorageAuctionServices.com cannot guarantee and does not promise any specific results from the use of the Storage Auction Services.
12. Limitation on Liability
In no event shall StorageAuctionServices.com be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages arising from your use of the services, even if StorageAuctionServices.com has been advised of the possibility of such damages.
StorageAuctionServices.com's liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the amount paid, if any, by you to StorageAuctionServices.com for the storage auction services during the term of membership.
13. U.S. Export Controls
Software available in connection with the Storage Auction Services (the "Software") is further subject to United States export controls.
No Software may be downloaded from the Storage Auction Services or otherwise exported or re-exported in violation of U.S. export laws.
Downloading or using the Software is at your sole risk.
14. Disputes
If there is any dispute about or involving the Storage Auction Services, you agree that the dispute shall be governed by the laws of the State of Arizona, USA, without regard to conflict of law provisions.
You agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of Arizona, City of Phoenix.
Either StorageAuctionServices.com or you may demand that any dispute about or involving the Storage Auction Services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Phoenix, Arizona, USA.
The foregoing shall not prevent StorageAuctionServices.com from seeking injunctive relief in a court of competent jurisdiction.
15. Indemnity
You agree to indemnify and hold StorageAuctionServices.com, its subsidiaries, and affiliates, and their respective officers, agents, partners, and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Storage Auction Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Storage Auction Services website and/or mobile application or through the Storage Auction Services causes StorageAuctionServices.com to be liable to another.
16. Force Majeure
StorageAuctionServices.com shall not be liable for failure or delay in performing its obligations hereunder if such failure or delay is due to circumstances beyond its reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of, interruption or delay in telecommunications or third-party services, failure of third-party software or hardware, or inability to obtain raw materials, supplies, or power used in or equipment needed for the provision of the services.
17. Acceptance
This Agreement is accepted upon your use of the Storage Auction Services website and/or mobile application or any of the Storage Auction Services, and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and StorageAuctionServices.com regarding the use of the Storage Auction Services.
The failure of StorageAuctionServices.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.
The section titles in this Agreement are for convenience only and have no legal or contractual effect.
This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void, or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
18. Transactional Emails
Storage Auction Services communicates with its members via transactional emails that do not contain an unsubscribe link.
Such transactional emails include, but are not limited to, registration confirmation, password reset, high bidder confirmation, "you have been outbid" notifications, and invoice information specific to your auction details.
An account should not be created unless the User agrees to receive these emails.
A member who does not want to receive such emails can cancel their account at any time.
